By accessing and using any website, software platform, service, or product operated by Avocore Group and its subsidiaries (including Ezcommerce, Analision, Shipnester, Bayelon, and Luxewall), you agree to be bound by these Terms and Conditions. These terms apply to all users, including merchants, consumers, partners, and service subscribers. If you do not agree to these terms in their entirety, you may not use our services. Your continued use of our platforms and services constitutes your acceptance of these terms and any modifications we make to them.
2. Permitted Use and Intellectual Property Rights
You agree to use our services only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment. Prohibited behavior includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content, disrupting the normal flow of dialogue within our platforms, and attempting to gain unauthorized access to our systems or networks. All content, software, trademarks, logos, and intellectual property on our platforms remain the exclusive property of Avocore Group and its subsidiaries. You may not reproduce, distribute, modify, or transmit any content without express written permission.
- Unauthorized access, hacking, or attempting to compromise the security of our software platforms, WMS systems, fulfillment networks, or digital marketing tools.
- Uploading, transmitting, or distributing malware, viruses, or any code intended to damage, disrupt, or interfere with our services or other users' systems.
- Engaging in fraudulent transactions, misrepresenting inventory data, providing false shipping information, or using our services to facilitate illegal commerce or consumer deception.
3. Disclaimer and Limitation of Liability
Our services, including Ezcommerce's digital marketing solutions, Analision's WMS and operations software, Shipnester's logistics and fulfillment services, and our consumer brands (Bayelon and Luxewall), are provided on an 'AS IS' and 'AS AVAILABLE' basis without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or free from harmful components. To the maximum extent permitted by law, Avocore Group and its subsidiaries shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid for the service in question during the twelve months preceding the claim.
4. Governing Law, Modifications, and Contact Information
These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction in which Avocore Group is incorporated, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any disputes arising from or relating to these terms or your use of our services.
Avocore Group reserves the right to modify these Terms and Conditions at any time. We will notify users of material changes by posting the updated terms on our websites and updating the 'Effective Date' at the top of this page. Your continued use of our services following the posting of revised terms means you accept and agree to the changes.
